Terms of Use
Please read these Terms carefully. They limit our liability, disclaim warranties, make all sales final once the 14-day refund window has closed, and affect your legal rights. Section 22 sets out the mandatory consumer rights that override them where your local law says so.
1. Who we are
Road English (the "Service") is operated by Dextrata Software Inc. ("Dextrata", "we", "us", "our"), a corporation incorporated in Canada. You can reach us at [email protected].
2. Acceptance
By creating an account, enrolling, paying for enrollment, or otherwise accessing or using the Service, you agree to these Terms of Use and to the documents incorporated into them by reference: the Privacy Policy, the Cookie & Storage Policy, the Refund Policy, the Disclaimer, the Copyright & Takedown Policy, the Accessibility Statement, and the AI Disclosure & Policy. Together they form a binding agreement between you and Dextrata, and all of them are listed at roadenglish.com/legal. If you do not agree, do not use the Service.
If you use the Service on behalf of an employer, carrier, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
3. Eligibility
You must be at least 18 years old and able to form a binding contract. The Service is not directed to children, and we do not knowingly permit accounts for anyone under 18. By creating an account — including by signing in with Google — you represent that you meet these requirements. Without enrolling, an account can only view the free content. Before your first enrollment, paid or free, you are asked to confirm expressly that you are 18 or older, and we keep a record of that confirmation. An account or enrollment based on a false representation or confirmation may be closed without refund.
4. Accounts
You must provide accurate registration information and keep it current. You are solely responsible for all activity under your account and for keeping your credentials confidential. Accounts are personal and non-transferable: they are licensed to one individual and may not be shared, resold, sublicensed, or used by multiple people. Notify us immediately of any unauthorized use. We may suspend or terminate any account we reasonably believe is shared, fraudulent, or in breach of these Terms, without refund.
4A. Organizations, groups, and fleets
Purchases for a school, carrier, fleet, or other group — including bulk or fleet pricing arranged through our contact form — are governed by a separate written agreement between Dextrata and that organization. Where that agreement conflicts with these Terms, it governs for that purchase; otherwise these Terms apply. No group purchase exists until that agreement is signed by both parties.
Each person who uses the Service under a group purchase needs their own personal account and is bound by these Terms. The Service is for adults only: every user must be at least 18, and an organization may not enroll or give access to anyone under 18.
5. Enrollment, pricing, and billing
- Enrollment grants a limited, personal, non-exclusive, non-transferable, revocable licence to access the course content for the stated enrollment term, and for no other purpose.
- Prices are shown at checkout and are in United States dollars (USD) unless stated otherwise. Your bank or card issuer may apply currency conversion or foreign-transaction fees, which are your responsibility.
- Taxes, where applicable, are your responsibility.
- Payments are processed by our third-party payment processor, Helcim. We do not receive or store your full card number. Your use of the payment process is also subject to the processor's terms.
- Enrollment terms (for example, one year or one month) run from the date access is granted and expire automatically at the end of the term. Access does not renew automatically unless the checkout page expressly says so.
- We may change prices, plans, or course content at any time. Price changes do not apply retroactively to an enrollment term you have already paid for.
5A. Referral program
- Enrolled users get a personal referral link. When a person who has never enrolled signs up through that link and later completes their first paid purchase, both the referrer and the new buyer receive 30 extra days of access, added after the end of their current access. Free access that was not paid for does not qualify.
- Each new buyer can be referred once. You cannot refer yourself or another account you control. A referrer can earn at most 12 bonus periods in any 12-month period.
- Bonus access has no cash value, cannot be exchanged, transferred or refunded, and is not a payment or discount on any purchase.
- If the referred purchase is refunded, charged back or reversed, we may remove the bonus access it earned from both accounts.
- You may share your link personally, but not through spam, paid search ads using our name, misleading claims, or in any way that breaks anti-spam law (including Canada's CASL). We may withhold or remove bonuses earned through abuse, and change or end the program at any time; bonuses already granted before a change are kept unless removed under this section.
6. 14-day refund
If you ask for a refund within 14 days of purchase, we will give you a full refund, no questions asked. After that window, payments are non-refundable: we do not provide refunds, credits, or exchanges, in whole or in part, for any reason, including unused access time, change of mind, dissatisfaction with the content, technical problems on your end, loss of access due to termination for breach, or failure to complete the course. See the Refund Policy for the full statement, which is incorporated into these Terms.
If your local law grants you a withdrawal, cancellation, or refund right that cannot be waived, Section 8 of the Refund Policy applies and this Section 6 yields to it.
Initiating a chargeback or payment dispute instead of contacting us is a breach of these Terms. We may suspend or terminate your account and pursue recovery of the disputed amount and any associated fees and costs.
7. Educational content only — no professional, legal, or regulatory advice
Road English is an English-language education product. It is not legal advice, immigration advice, employment advice, safety advice, medical advice, or regulatory guidance, and it is not an official or authorized source for any licensing, testing, inspection, or compliance requirement. The full statement is in the Disclaimer, which is incorporated into these Terms.
Course material referring to road signs, commercial driver licensing (including CDL), roadside inspections, transport documents, hours of service, border crossing, weights and dimensions, or any similar subject is provided solely as language-learning context. It is simplified, may be incomplete, may be out of date, and is not affiliated with, endorsed by, or reviewed by any government, regulator, licensing body, examiner, carrier, or enforcement agency.
You must independently verify all rules, requirements, and procedures with the applicable authority and your employer before relying on them. We make no representation that use of the Service will result in passing any test or examination, obtaining or keeping any licence, certification, permit, or job, passing any inspection, achieving any level of English proficiency, or complying with any law or regulation. Any outcome depends on factors outside our control, including your own effort and circumstances.
You are solely responsible for your own conduct, driving, and compliance with all applicable laws. Never use the Service, or any device running it, while operating a vehicle.
8. Audio, synthetic speech, and translations
The Service uses automated text-to-speech and includes translations into multiple languages, some of which are unreviewed machine-assisted drafts. Pronunciation, wording, and translations may be inaccurate. The English-language content is the authoritative version of all course material and of these Terms; translations are provided for convenience only, and in the event of any conflict, the English version governs.
The Virtual Teacher is an AI chatbot, not a person. Its replies may be wrong, and what you type to it is processed by OpenAI, so do not include personal information. See the AI Disclosure.
9. Intellectual property
All course content, text, audio, images, software, design, and branding on the Service are owned by Dextrata or its licensors and are protected by copyright and other laws. Except for the limited licence in Section 5, no rights are granted to you.
You may not, and may not permit anyone else to: copy, download in bulk, record, screen-capture for distribution, reproduce, republish, distribute, sell, rent, sublicense, publicly display, or create derivative works from the content; use the content to train, fine-tune, or evaluate any machine-learning or artificial-intelligence system; scrape, crawl, or use automated means to access the Service; or remove or obscure any proprietary notice.
You also may not, on any course or lesson page: use the right-click or context menu to copy or save content; select, copy, cut, or drag lesson text or images; view the page source or open browser developer tools to read, extract, or save content; print or print to PDF; save the page or any part of it; take screenshots or screen recordings; use browser extensions, reader modes, or translation, download, or archiving tools to capture content; or circumvent any technical measure that prevents these actions. Form fields you type into are exempt.
We expressly reserve our rights under Article 4(3) of EU Directive 2019/790 and opt out of any text-and-data-mining exception in every jurisdiction that permits such a reservation. The Copyright & Takedown Policy sets out the full terms, our designated agent for infringement notices, and the counter-notice procedure.
To protect the course, each lesson page we serve carries an invisible identifier linked to your account, and we record which lessons each account opens and when. We use these records to detect and stop automated or bulk copying, to trace content found outside the Service back to the account it was served to, and to support takedown and enforcement action. An enrolled account can have at most two sessions active at once; a further sign-in is refused. Our systems automatically lock an enrolled account, without prior human review, when its activity matches automated or bulk copying — for example, opening lessons far faster than a person could read them, loading lessons in an automated or headless browser, or following a link on a lesson page that people cannot see. A locked account cannot open lessons until we unlock it. If you believe your account was locked by mistake, email [email protected] from your account address with Account Review in the subject line; a person will review the lock and your explanation and tell you the outcome, and we will unlock the account if the lock was a mistake. Section 9 of the Privacy Policy describes the records used. If content served to your account is redistributed, we may suspend or terminate that account under Section 16.
Any feedback or suggestions you send us may be used by us freely, without obligation or compensation to you.
10. Acceptable use
You agree not to: share account credentials or course access with anyone; attempt to bypass authentication, payment, rate limits, or any access control; probe, scan, overload, or interfere with the Service or its infrastructure; reverse engineer or decompile any part of the Service except where that restriction is prohibited by law; upload or transmit malware, unlawful content, or content that infringes another person's rights; impersonate anyone; use the Service for any unlawful purpose; or use the Service in any way that imposes an unreasonable load on our systems or our third-party providers.
11. Availability
The Service is provided on an as-available basis. We do not guarantee uninterrupted or error-free operation, and we may modify, suspend, limit, or discontinue the Service or any part of it, including any lesson, feature, language, or audio capability, at any time and without notice or liability. Scheduled and unscheduled downtime, maintenance, and third-party outages do not entitle you to any refund or credit.
12. Third-party services and links
The Service depends on third-party providers (including payment processing, email delivery, authentication, speech synthesis, and hosting) and may link to third-party sites. We do not control those parties, and we are not responsible or liable for their acts, omissions, availability, security, content, or policies.
13. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service and all content are provided "AS IS" and "AS AVAILABLE", without warranties or conditions of any kind, whether express, implied, statutory, or otherwise. We expressly disclaim all implied warranties and conditions, including merchantability, fitness for a particular purpose, durability, title, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will meet your requirements, be available, secure, accurate, complete, current, or error-free, or that defects will be corrected.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- Dextrata, and its directors, officers, employees, contractors, agents, suppliers, and licensors, will not be liable for any indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages, or for any loss of profits, revenue, income, savings, business, opportunity, goodwill, data, employment, licence, or reputation, or for personal injury or property damage, arising out of or relating to the Service or these Terms, however caused and under any theory of liability (including contract, tort, negligence, strict liability, or statute), even if we have been advised of the possibility of such damages.
- Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the total amount you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or USD $100, whichever is less.
- These limitations apply even if a limited remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under the British Columbia Business Practices and Consumer Protection Act. Where such law applies, our liability is limited to the minimum extent permitted by that law.
15. Indemnity
You will defend, indemnify, and hold harmless Dextrata and its directors, officers, employees, contractors, agents, suppliers, and licensors from and against all claims, demands, actions, damages, losses, liabilities, fines, penalties, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content or submissions, your breach of these Terms, your violation of any law, or your violation of any third-party right.
16. Termination
You may stop using the Service at any time. We may suspend or terminate your account and access at any time, with or without notice, including for any breach of these Terms or any suspected fraud or abuse. On termination, your licence ends immediately, no refund is owed, and Sections 6 and 8 through 23 survive.
17. Changes to these Terms
We may update these Terms at any time by posting a revised version with a new "Last updated" date. Changes take effect when posted. Your continued use of the Service after that constitutes acceptance. If you do not agree to a change, stop using the Service; no refund is owed.
18. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and Dextrata submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, and waive any objection to venue or forum in those courts, except that we may seek injunctive relief in any court of competent jurisdiction.
Consumers. This Section does not deprive you of the protection of the mandatory law of the country where you habitually reside, and it does not remove any right you have to bring proceedings in the courts of that country where your local law gives you that right and it cannot be waived by agreement. See Section 22.
19. No class actions
To the maximum extent permitted by applicable law, you agree to bring any claim against us only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Where a class-action waiver is unenforceable against you under the law that applies to you, this Section does not apply to you, and the remainder of these Terms continues in force.
20. Time limit on claims
To the maximum extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after the claim arose, or it is permanently barred. Where applicable law prohibits shortening a limitation period, the statutory period applies instead.
21. General
These Terms, together with the documents listed in Section 2 and at roadenglish.com/legal, are the entire agreement between you and Dextrata regarding the Service and supersede all prior discussions. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship. We are not liable for any failure or delay caused by events beyond our reasonable control.
22. Mandatory consumer rights, and how to raise a dispute
Nothing in these Terms excludes, restricts, or modifies any right, guarantee, warranty, or remedy you hold as a consumer under the law of your own country or region that cannot be excluded, restricted, or modified by agreement. Where such a right applies, it applies in full and overrides any conflicting provision of these Terms; the rest of these Terms continues to apply to everything else.
Without limiting that:
- EU and EEA consumers. You keep the protection of the mandatory provisions of the law of your country of residence, including your rights under Directive 2011/83/EU (withdrawal) and Directive (EU) 2019/770 (conformity of digital content), and you may bring proceedings in the courts of your own country. Our choice of British Columbia law does not deprive you of those protections. Section 8 of the Refund Policy explains how the 14-day withdrawal right works alongside our own 14-day refund.
- UK consumers. You keep your rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, and may bring proceedings in the courts of the United Kingdom.
- Canadian consumers. You keep your rights under the British Columbia Business Practices and Consumer Protection Act, the Quebec Consumer Protection Act, and the consumer legislation of your province or territory. Where provincial law makes a choice-of-forum or class-action waiver unenforceable against a consumer, it does not apply to you.
- US consumers. You keep any non-waivable right under applicable federal or state consumer protection law, and your right to dispute a billing error with your card issuer.
- Australian and New Zealand consumers. Nothing here excludes, restricts, or modifies the consumer guarantees under the Australian Consumer Law or the Consumer Guarantees Act 1993.
Notice of dispute. Before starting any proceeding, please send us written notice at [email protected] with Legal Notice in the subject line, describing the claim and the relief you want. We will try in good faith to resolve it within 30 days. This step is a courtesy that usually resolves things faster and cheaper than litigation; it is not a condition precedent where your local law does not permit one, and it does not extend or suspend any limitation period.
